1. Agreement to Terms

By accessing and using Cicadaseason's AI consulting services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

Cicadaseason provides AI technology consulting services including:

• AI-driven event planning solutions
• AI-powered operations optimization
• Strategic AI implementation consulting
• Custom AI solution development
• Training and support services

3. Engagement Terms

All consulting engagements are subject to a separate Statement of Work (SOW) that will detail specific deliverables, timelines, and payment terms. The SOW will incorporate these Terms of Service by reference.

3.1 Project Scope

Project scope will be clearly defined in the SOW. Any changes to scope must be agreed upon in writing and may result in additional charges.

3.2 Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information
• Timely feedback and approvals
• Access to necessary systems and data
• Compliance with applicable laws and regulations

4. Payment Terms

Payment terms will be specified in each SOW. Generally:

• Hourly engagements are billed monthly
• Project-based work requires milestone payments
• Invoices are due within 30 days of receipt
• Late payments may incur interest charges

5. Intellectual Property

5.1 Client IP

All client data, existing systems, and proprietary information remain the property of the client.

5.2 Developed Solutions

Custom AI solutions developed specifically for a client become the property of the client upon full payment, unless otherwise specified in the SOW.

5.3 Cicadaseason IP

Cicadaseason retains ownership of its methodologies, frameworks, and general knowledge gained during engagements.

6. Confidentiality

Cicadaseason maintains strict confidentiality regarding all client information and will not disclose confidential information to third parties without written consent, except as required by law.

7. Data Security and Privacy

We implement industry-standard security measures to protect client data. Our data handling practices are detailed in our Privacy Policy.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards.

8.2 Disclaimers

EXCEPT AS EXPRESSLY SET FORTH HEREIN, CICADASEASON MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

IN NO EVENT SHALL CICADASEASON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Termination

Either party may terminate an engagement with 30 days written notice. Client remains responsible for payment of all services performed prior to termination.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including natural disasters, government actions, or other force majeure events.

12. Governing Law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

13. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Modifications

Cicadaseason reserves the right to modify these terms at any time. Continued use of our services after modifications constitutes acceptance of the updated terms.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
